Welcome to Konveyit Teachers. These Terms of Service ("Terms") govern your access to and use of the Konveyit Teachers platform, including all associated features, content, and services (collectively, the "Service"), operated by Konveyit LLC ("Konveyit," "we," "us," or "our"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Konveyit Teachers platform in any manner, you agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Konveyit LLC.

If you are using the Service on behalf of an organization, such as a music school or educational institution, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" and "your" will refer to both you individually and the organization you represent.

We reserve the right to refuse access to the Service to anyone for any reason at any time. Your continued use of the Service following any changes to these Terms constitutes your acceptance of such changes.

2. Description of Service

Konveyit Teachers is a music teaching management platform designed specifically for private music instructors, independent music teachers, and small music teaching studios. The Service provides a comprehensive suite of tools to help music educators manage and grow their teaching practices.

The Service includes, but is not limited to, the following features:

  • Student Management: Tools for organizing student profiles, tracking enrollment, managing contact information, and maintaining detailed records for each student in your studio.
  • Lesson Scheduling: A calendar-based scheduling system that allows you to book, reschedule, and manage private lessons, group classes, and recurring appointments. Includes availability management and scheduling conflict detection.
  • Practice Assignments: Create, assign, and track practice assignments for your students. Set goals, define practice routines, and monitor student progress between lessons.
  • Content Library: Upload, organize, and share educational materials including sheet music, exercise files, audio recordings, video lessons, and other teaching resources with your students.
  • Student Portal: A dedicated portal where your students (and, where applicable, their parents or guardians) can access assignments, view upcoming lessons, submit practice logs, communicate with you, and review their progress.
  • Analytics & Reporting: Comprehensive dashboards and reports that provide insights into student engagement, practice statistics, retention rates, lesson attendance, and studio performance metrics.

Konveyit LLC reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes that may affect their use of the platform.

3. Account Registration

To access and use the Konveyit Teachers platform, you must create an account. By registering for an account, you agree to the following:

  • Age Requirement: You must be at least 18 years of age to create a teacher account on Konveyit Teachers. By registering, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
  • Accurate Information: You agree to provide truthful, accurate, current, and complete information during the registration process and to update such information promptly if it changes. This includes, but is not limited to, your legal name, email address, contact information, and professional qualifications.
  • Account Security: You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to immediately notify Konveyit of any unauthorized use of your account or any other security breach. You are responsible for all activities that occur under your account, whether or not you have authorized such activities.
  • One Account Per Person: Each individual may maintain only one Konveyit Teachers account. Creating multiple accounts for the same individual is prohibited and may result in suspension or termination of all associated accounts. If you need to manage multiple studios or teaching locations, please contact our support team for appropriate account configuration.
  • Account Sharing: Your account is personal to you and may not be transferred, sold, or shared with any other person. You may not allow any third party to access or use the Service through your account.

Konveyit LLC reserves the right to suspend or terminate any account that we reasonably believe has been created with false or misleading information, or that is being used in violation of these Terms.

4. Acceptable Use Policy

Konveyit Teachers is designed and intended to be used exclusively for legitimate music education purposes. By using the Service, you agree to use the platform in a manner that is lawful, ethical, and consistent with the educational mission of the platform. You are responsible for all content you upload, share, create, or transmit through the Service.

4.1 Permitted Uses

The Service should be used for activities directly related to music education, including but not limited to:

  • Managing your music teaching studio and student roster
  • Scheduling and conducting music lessons
  • Creating and distributing practice assignments and educational materials
  • Sharing sheet music, audio recordings, video demonstrations, and other instructional content that you have the right to distribute
  • Communicating with students and their parents or guardians regarding lessons, progress, and studio matters
  • Tracking student progress and generating educational reports

4.2 Prohibited Content

You must NOT upload, share, create, transmit, distribute, store, or otherwise make available through the Service any of the following types of content. Violations of this section will be treated with zero tolerance:

  • Pornographic, Sexually Explicit, or Obscene Material: Any content that depicts, describes, or promotes sexual acts, nudity, pornography, or obscene material of any kind is strictly prohibited. This includes, but is not limited to, images, videos, audio files, text, links to external sites containing such material, and any content that is sexually suggestive or intended to arouse.
  • Violent, Abusive, or Harmful Content: Any content that depicts, glorifies, incites, or promotes violence, physical abuse, self-harm, torture, cruelty, or threats of violence against any person or animal. This includes graphic depictions of injury, content that encourages dangerous or harmful behavior, and content that trivializes or celebrates violent acts.
  • Hate Speech and Discriminatory Content: Any content that promotes, incites, or expresses hatred, discrimination, intolerance, or prejudice against any individual or group based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, age, disability, veteran status, or any other protected characteristic. This includes slurs, derogatory language, stereotyping, and any content designed to demean, dehumanize, or marginalize individuals or groups.
  • Content Promoting Illegal Activities: Any content that encourages, instructs, facilitates, or promotes illegal activities, including but not limited to the use, manufacture, or distribution of illegal drugs or controlled substances; underage drinking; illegal weapons; fraud; theft; vandalism; or any other criminal conduct.
  • Copyright-Infringing Material: Any content that infringes upon the intellectual property rights of others, including copyrighted music, sheet music, recordings, images, videos, or text that you do not own or do not have proper authorization, license, or legal right to distribute. Users must respect the intellectual property rights of composers, publishers, and other rights holders.
  • Malware, Viruses, or Harmful Code: Any software, files, or code that is designed to disrupt, damage, limit, or interfere with the proper function of any software, hardware, network, or telecommunications equipment. This includes viruses, worms, trojan horses, ransomware, spyware, adware, keyloggers, or any other malicious or destructive code.
  • Spam, Phishing, or Deceptive Content: Any unsolicited bulk communications, phishing attempts, misleading content, fraudulent schemes, pyramid schemes, chain letters, or any content that is designed to deceive, mislead, or manipulate users. This includes impersonating another person or entity, or falsely representing your affiliation with any person or organization.
  • Content That Exploits or Endangers Minors: Any content that exploits, abuses, or endangers minors in any way is absolutely and unconditionally prohibited. This includes, but is not limited to, child sexual abuse material (CSAM), content that sexualizes minors, content that facilitates the grooming of minors, content that encourages harmful or dangerous behavior by minors, and any content that violates child protection laws. Konveyit will report any such content to the appropriate law enforcement authorities immediately and without prior notice to the offending user.
  • Personal Information of Others Without Consent: Any content that discloses personal, private, or confidential information of another individual without their explicit consent, including home addresses, phone numbers, financial information, medical records, or other sensitive personal data.
  • Defamatory or Libelous Content: Any content that is knowingly false and is intended to harm the reputation of another individual, business, or organization.

4.3 Enforcement and Consequences

Konveyit takes violations of this Acceptable Use Policy extremely seriously. The following enforcement measures apply:

  • Any content that Konveyit deems, in its sole discretion, to be inappropriate, harmful, or in violation of this Acceptable Use Policy will be removed immediately and without prior notice.
  • Accounts found to be in violation of this policy will be suspended or permanently terminated at Konveyit's sole discretion, without refund of any subscription fees or other payments.
  • A first violation may result in a warning, content removal, or immediate account suspension depending on the severity of the violation.
  • Repeated violations will result in permanent ban from the platform with no possibility of reinstatement.
  • Severe violations, including but not limited to content that exploits minors, promotes terrorism, or constitutes a credible threat of violence, will result in immediate permanent termination and may be reported to the appropriate law enforcement authorities.
  • Konveyit reserves the right to cooperate with law enforcement agencies and comply with legal orders, subpoenas, and court orders related to violations of this policy.

4.4 Prohibited Behaviors

In addition to the content restrictions above, you agree not to engage in the following behaviors while using the Service:

  • Harassment and Bullying: You must not use the platform to harass, bully, threaten, stalk, or intimidate students, parents, guardians, or any other users of the platform. This includes repeated unwanted contact, abusive language, personal attacks, and any conduct intended to frighten, coerce, or cause emotional distress.
  • Unauthorized Access: You must not attempt to gain unauthorized access to any part of the Service, other user accounts, computer systems, or networks connected to the Service. This includes attempting to probe, scan, or test the vulnerability of the system, or attempting to breach any security or authentication measures.
  • Circumventing Security: You must not attempt to circumvent, disable, or interfere with any security features of the Service, including features that prevent or restrict the use or copying of content, or features that enforce limitations on the use of the Service.
  • Automated Access: You must not use bots, scrapers, crawlers, or any automated means to access the Service, collect data from the Service, or interact with the Service without express written permission from Konveyit.
  • Reverse Engineering: You must not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any part thereof.
  • Commercial Misuse: You must not use the Service to advertise or sell products or services unrelated to music education, or use the platform to recruit students for purposes other than legitimate music instruction.

5. Content Ownership & Licensing

5.1 Your Content

You retain all ownership rights to the content you create, upload, or share through the Konveyit Teachers platform ("Your Content"), including but not limited to lesson plans, practice assignments, educational materials, video lessons, audio recordings, and written communications. Konveyit does not claim ownership of Your Content.

By uploading or sharing Your Content through the Service, you grant Konveyit LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, display, reproduce, modify (solely for formatting and technical purposes), and distribute Your Content solely for the purpose of operating, providing, improving, and promoting the Service. This license exists only for as long as your content remains on the platform and is necessary for Konveyit to deliver the Service to you and your students.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the above license for all content you upload or share through the Service, and that Your Content does not infringe upon the intellectual property rights or other rights of any third party.

5.2 Konveyit's Intellectual Property

The Konveyit Teachers platform, including all software, code, design, graphics, logos, trademarks, service marks, trade names, domain names, user interface, proprietary features, documentation, and all other elements of the Service, are the exclusive property of Konveyit LLC or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in the Konveyit platform, our branding, or our proprietary features, except for the limited right to use the Service in accordance with these Terms. You may not copy, reproduce, modify, distribute, sell, or create derivative works based on the Konveyit platform or any of its components without express written permission from Konveyit LLC.

5.3 Feedback

If you provide Konveyit with any feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you grant Konveyit an unrestricted, perpetual, irrevocable, royalty-free license to use, implement, modify, and incorporate such Feedback into the Service without any obligation to you.

6. Student Data & Privacy

6.1 Teacher Responsibilities

As a music teacher using the Konveyit Teachers platform, you acknowledge that you may collect, store, and process personal information about your students through the Service. You are responsible for:

  • Obtaining appropriate consent from students (or their parents or legal guardians, in the case of minors under 18) before entering their personal information into the platform.
  • Informing your students and their families about how their data will be collected, used, stored, and shared through the Service.
  • Ensuring that you have a lawful basis for processing any personal data you enter into the platform.
  • Complying with all applicable data protection and privacy laws in your jurisdiction.
  • Properly managing access to student data and not sharing student information with unauthorized parties.

6.2 Privacy Policy

Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understand our Privacy Policy.

6.3 FERPA and COPPA Awareness

If you are a music teacher who works with students in educational institutions subject to the Family Educational Rights and Privacy Act (FERPA), you are responsible for ensuring that your use of the Konveyit Teachers platform complies with FERPA requirements regarding the protection of student education records.

If you teach students under the age of 13, you acknowledge the requirements of the Children's Online Privacy Protection Act (COPPA) and agree that you are responsible for obtaining verifiable parental consent before collecting or inputting any personal information of children under 13 into the platform. You must not invite or enable children under 13 to create accounts or interact with the Service without proper parental consent.

Konveyit provides tools and features to assist you in managing student data responsibly, but ultimate responsibility for compliance with applicable education and child privacy laws rests with you as the teacher and data controller.

6.4 Data Security

Konveyit implements commercially reasonable security measures to protect the data stored on our platform. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security. You agree to take reasonable steps to protect your account credentials and to notify us immediately of any suspected security breaches.

7. Payment Terms

7.1 Subscription Billing

Access to the Konveyit Teachers platform requires a paid subscription. Subscription plans and pricing are available on our website and within the platform. All fees are stated in U.S. Dollars (USD) unless otherwise indicated. You agree to pay all applicable fees associated with your selected subscription plan.

7.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle (monthly or annually, depending on your selected plan) unless you cancel your subscription before the renewal date. By subscribing, you authorize Konveyit to charge your designated payment method on a recurring basis at the then-current subscription rate. Konveyit will make reasonable efforts to notify you before any price increases take effect on your next renewal.

7.3 Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period for which you have already paid.
  • You will continue to have full access to the Service until the end of your current billing period.
  • Your account will not be charged for subsequent billing periods after cancellation.
  • After your subscription expires, your account will be downgraded and you may lose access to certain features and stored content. See Section 11 (Termination) for details regarding data retention and export.

7.4 Refund Policy

Subscription fees are generally non-refundable. However, Konveyit may, at its sole discretion, offer refunds or credits in the following circumstances:

  • If you experience a significant, verified service outage that materially impacts your ability to use the platform for an extended period.
  • If you are charged in error due to a billing system malfunction.
  • If you cancel within the first 14 days of your initial subscription and have not made substantial use of the platform.

To request a refund, please contact our support team at support@konveyit-teacher.com. All refund requests will be evaluated on a case-by-case basis.

7.5 Taxes

You are responsible for all applicable taxes, duties, and government levies associated with your subscription, except for taxes based on Konveyit's net income. If Konveyit is required to collect or remit taxes on your behalf, such taxes will be added to your invoice.

8. Service Availability

8.1 Uptime Goals

Konveyit strives to maintain the Service with a high level of reliability and availability. While we aim for 99.9% uptime, we do not guarantee uninterrupted, error-free, or continuous access to the Service. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.

8.2 Maintenance Windows

We may periodically perform scheduled maintenance on the Service, which may result in temporary unavailability. We will make reasonable efforts to provide advance notice of scheduled maintenance through the platform, email notifications, or our status page. Emergency maintenance may be performed without advance notice when necessary to protect the integrity and security of the Service.

8.3 Force Majeure

Konveyit shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of God, epidemics or pandemics, war, terrorism, riots, government actions, power outages, internet service disruptions, third-party service provider failures, cyberattacks, fire, flood, earthquake, or other catastrophic events. In the event of a force majeure event, Konveyit will use commercially reasonable efforts to resume the Service as quickly as possible.

9. Limitation of Liability

9.1 "As Is" Provision

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. KONVEYIT LLC DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KONVEYIT LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF KONVEYIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KONVEYIT LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO KONVEYIT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

9.4 Acknowledgment

You acknowledge that Konveyit has set its prices and entered into these Terms in reliance upon the limitations of liability and disclaimers of warranties set forth herein, and that the same form an essential basis of the bargain between the parties. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Konveyit LLC, its parent, subsidiaries, affiliates, officers, directors, employees, agents, partners, suppliers, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

  • Your use of the Service or any activity conducted through your account.
  • Your violation of these Terms of Service or any applicable law, regulation, or third-party right.
  • Any content you upload, share, create, or transmit through the Service, including any claim that Your Content infringes the intellectual property rights or other rights of a third party.
  • Your interactions with your students, their parents or guardians, or any other third parties in connection with your use of the Service.
  • Your failure to obtain required consents or your non-compliance with applicable data protection, privacy, or education laws.
  • Any dispute between you and your students regarding lessons, fees, or services rendered outside of the Konveyit platform.

Konveyit reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of Konveyit LLC.

11. Termination

11.1 Termination by You

You may terminate your account and stop using the Service at any time by canceling your subscription through your account settings and then requesting account deletion, or by contacting our support team. Upon voluntary termination, your subscription will remain active through the end of your current billing period.

11.2 Termination by Konveyit

Konveyit may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms of Service, including the Acceptable Use Policy.
  • Failure to pay subscription fees when due.
  • Fraudulent, abusive, or illegal activity.
  • Conduct that Konveyit determines, in its sole discretion, may harm other users, third parties, or the reputation and integrity of the platform.
  • Extended period of account inactivity.
  • Discontinuation of the Service or any part thereof.

11.3 Effect of Termination

Upon termination of your account for any reason:

  • Your right to access and use the Service will immediately cease.
  • Your students will lose access to any shared content and their student portal accounts associated with your teaching studio.
  • Konveyit may delete Your Content and all associated data in accordance with our data retention policies.

11.4 Data Export Window

Following account termination or cancellation, Konveyit will provide a 30-day data export window during which you may download your data, including student records, lesson plans, and uploaded content. After this 30-day period, Konveyit reserves the right to permanently delete all data associated with your account. It is your responsibility to export any data you wish to retain before the expiration of the data export window. Konveyit will not be liable for any data that is deleted after the 30-day export period.

11.5 Survival

The following sections of these Terms shall survive any termination or expiration: Content Ownership & Licensing, Limitation of Liability, Indemnification, Dispute Resolution, and any other provisions that by their nature are intended to survive termination.

12. Dispute Resolution

12.1 Governing Law

These Terms of Service and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

12.2 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or related to these Terms or the Service through informal negotiation. To initiate the informal dispute resolution process, you must send a written notice describing the dispute and your desired resolution to support@konveyit-teacher.com. Both parties agree to negotiate in good faith for a period of at least 30 days from the date the notice is received before pursuing formal dispute resolution.

12.3 Binding Arbitration

If the parties are unable to resolve a dispute through informal negotiation within 30 days, either party may elect to have the dispute finally and exclusively resolved by binding arbitration. The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator, and the proceedings shall take place in the State of Delaware or, at the election of the claimant, remotely via video conference. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

12.4 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND KONVEYIT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. UNLESS BOTH PARTIES AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

12.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, copyrights, trademarks, trade secrets, or confidential information.

13. Modifications to Terms

Konveyit LLC reserves the right to modify, update, or revise these Terms of Service at any time. When we make material changes to these Terms, we will:

  • Provide at least 30 days' advance notice before the changes take effect. This notice will be delivered via email to the address associated with your account and through a prominent notification within the platform.
  • Update the "Last Updated" date at the top of these Terms to reflect the effective date of the revised Terms.
  • Clearly identify the specific changes made so that you can review them.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.

For non-material changes, such as corrections of typographical errors or minor clarifications that do not affect your rights or obligations, we may update these Terms without advance notice, but we will still update the "Last Updated" date accordingly.

We encourage you to review these Terms periodically to stay informed about the rules governing your use of the Service.
